Acceptance of Terms

By engaging with our OEM/ODM manufacturing services, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you (the "Client") and our company (the "Manufacturer"). If you do not agree to these terms, please do not proceed with any business engagement.

Service Scope

We provide professional B2B manufacturing services including but not limited to:

  • Custom product design and development (ODM)
  • Original equipment manufacturing (OEM)
  • Quality control and testing services
  • Certification support and compliance documentation
  • Mass production and logistics coordination

Order Process & Payment Terms

Order Confirmation

All orders require written confirmation via purchase order or signed contract. Verbal agreements are not binding until documented in writing.

Payment Schedule

Standard payment terms are 30% deposit upon order confirmation, 60% before production completion, and 10% upon delivery. Custom payment terms may be negotiated for long-term partnerships.

Intellectual Property Rights

For OEM projects, all intellectual property rights remain with the Client. For ODM projects, intellectual property rights are defined in individual project agreements. We guarantee:

  • Strict confidentiality of all client designs and specifications
  • Non-disclosure of proprietary manufacturing processes
  • Protection against unauthorized reproduction or distribution

Quality Assurance & Warranty

We maintain strict quality control standards throughout the manufacturing process. Our warranty terms include:

Standard Warranty: 12-month warranty against manufacturing defects from date of shipment.

Quality Claims: All quality claims must be reported within 7 days of delivery with photographic evidence and detailed descriptions.

Delivery & Logistics

Delivery timelines are estimated and subject to production capacity and material availability. We are not liable for delays caused by force majeure events, customs clearance, or third-party logistics providers. Risk of loss transfers to the Client upon shipment from our facility unless otherwise agreed.

Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific order in question. We are not liable for indirect, incidental, consequential, or punitive damages including but not limited to lost profits, business interruption, or loss of data.

Cancellation & Modification

Order cancellations or modifications must be requested in writing. Cancellation fees apply based on production stage: 10% if before material procurement, 30% if materials ordered, 50% if production started, and 100% if production completed. Modifications may incur additional tooling or setup charges.

Governing Law & Dispute Resolution

These Terms of Service are governed by the laws of the People's Republic of China. Any disputes arising from these terms shall be resolved through:

  1. Good faith negotiation between parties
  2. Mediation by a mutually agreed third party
  3. Arbitration in Shenzhen, China under CIETAC rules

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued engagement with our services after modifications constitutes acceptance of the updated terms. For existing orders, the terms in effect at the time of order confirmation shall apply.
